I. MISSION STATEMENT
It is the goal of Telepathy Film Productions, LLC to introduce a new style in filmmaking focusing on action comedy,horror’s, thrillers to elicit emotion through humor, action,suspence and realistic events that happen in the real world . “Claus-Trophobia” will be a Horror/Thriller film similar in between Saw series, Hostel ,The Decent Caputuring audiences threw ages 18-45 talking about good versus evil where the devil fights the lord .And the lord wins this battle.
II. OVERVIEW
Telepathy Film Productions, LLC is a Nevada limited liability company that believes a rare opportunity exists in the motion picture industry today. The substantial worldwide growth of new markets for motion pictures, the ever increasing cost associated with an average Hollywood picture, combined with a decline in independent productions, are indicative of the profit potential that exists. Telepathy Film Productions, LLC is presently seeking venture capital or collateral (to secure a business loan), to fund the production of the feature length motion picture entitled: “Claus-Trophobia”. “Claus-Trophobia” is budgeted at a modest, yet adequate Production cost of Two Million five hundred thousand dollars ($2.5)
And of the 2.5 Million Dollars $75,000 (optional) for (P&A) Prints and advertising cost. Majority of (P&A) shall be covered by distribution.
Telepathy Films, LLC, an independent motion picture production company assembling creative and business professionals with common goals, will produce “Claus-Trophobia” will be produced by: Allen Barnwell,Jeremy v Dienstl,Paul Gagne who brings 17 years of experience in the movie industry and has worked on such films and TV such as “West From North Goes South” “Final Sanction” “Fire Head” “Raw Nerve” The screenplay is written by Arkiesha
Roberts.
III. FINANCING STRUCTURE
Most investors are looking for a preferred return. An LLC has been formed to cover the negative cost of the film. Gross revenues flowing back to the LLC will be allocated 100% to the members. The investors can become limited partners for the project “Claus-Trophobia” and the revenue allocation will be negotiable at that point.
This type of LLC Financing will allow all LLC members including limited partners to take advantage of a new law (The American Jobs Creation Act of 2004). This law allows the LLC members to write off the entire cost of the investment in an independent film up to 15 million dollars in one year. The return on investment will be taxed at the capital gains rate of 15% per year.
IV. FILM NEGATIVE OWNERSHIP
The film will pay revenue to the LLC and its members for X amount of time that will be negotiable, thereafter the film negative ownership will revert to the general partners or their assigns.
Claustro-phobia- Synopsis
Michael Rosen has been battling claustrophobia his entire life. The anxiety caused by this mental disorder is destroying Mike’s life. Mike’s relationships, his work; all areas of his life suffer because of it. He decides to attend a help retreat session that his psychologist, Dr. Mateav has put together for his patients who all suffer from Claustrophobia. Mike and the other patients soon discover that the treatment retreat session is actually a cruel scientific experiment that they have all become a part of.
Mike and the other patients struggle to survive as they are treated like lab rats. They are all stuck in a long clear plastic tube that is so tight that they cannot move. Dr. Mateav is testing out Thorazine, a new drug that he hopes will cure anxiety for good. (Dr. Mateav’s daughter died from a seizure caused by her anxiety from her claustrophobia disorder. Dr. Mateav feels obliged to find a cure for anxiety.) Dr. Mateav thinks he has things under control until patients begin to die from panic attacks, drug overdose, malnutrition, gun wounds…..
Mike holds on to his spirituality to try to survive his claustrophobia disorder and stay sane. He attempts to help others stay sane, but they choose the drug, Thorazine instead to numb their mind. As the patients die one by one around him Mike continues to believe God will find away for him. He prays for a miracle.

Dr. Meteav - psychologist turned crazy after his daughter dies from a panic attack caused by her claustrophobia disorder. His wife committed suicide before her daughter’s funeral. He experiments on humans (instead of using rats he uses humans). He believes it is his duty in life to find a cure for anxiety. He experiments on his test subject with drugs that he created himself. The side effects cause some to be completely dependent on the drug and completely brain dead.

Jessica – Patient of Dr. Meteav. She suffers from severe claustrophobia disorder. Here anxiety was so bad that she would pass out whenever she had to stand in a long line. The medicine that Dr. Meteav has given her has affected her severely. She has been taking the medicine for about five years. She has developed a bi-polar disorder because of it. She will either be in a state of extreme unusual calmness where she seems to be brain dead or she is having an extreme panic attack. One scene she starts to scream uncontrollably. Her panic attacks are so extremely insane that it triggers Hose’ (who also suffers from a bi-polar disorder caused by the Thorazine drug) to lose control of his anxiety. He has an outrageous panic attack that causes him to bash in her head with his feet.
Chris – Jessica’s boyfriend that sometimes experiments with her anti-anxiety drug (Thorazine) for recreational purposes.

VII. STRUCTURE
The limited partnership agreement will be between the film finance company, Telepathy Film Productions, LLC (herein called the “general partner”) and the investor(s) (herein called the “limited partner(s)”). The Nevada Partnership Act will serve as the medium whereby the partners shall transact its business. Pursuant to the Regulated Uniform Limited Partnership Act, the general partner(s) will be liable for all indebtedness of this project and the limited partner(s) will not be responsible for anything beyond the capital investment.
The capital investment will be deposited in a time deposit money market account for eighteen (18) months to two (2) years at a lending institution in the name of Telepathy Film Productions, LLC to serve as collateral to secure a business loan obtained in the name of Telepathy Film Productions, LLC. Our lending institution has tentatively agreed, (subject to verification of funds and/or collateral and other terms and conditions, including delivery of completion bond), to loan an amount up to one hundred percent (100%) of amount deposited in the time deposit money market account at an interest rate not to exceed eight percent (8%) per annum. Our lending institution has also indicated that they are prepared to offer additional services to Telepathy Film Productions, LLC including collection services to secure revenues payable to Telepathy Film Productions, LLC. Telepathy Film Productions, LLC intends to repay the business loan, principal and interest, prior to the eighteen (18) months to two (2) year maturity date, thereby releasing the collateral of the limited partners being held in the money market account. In addition to the producer’s net profits percentage that will be negotiated, the limited partners will receive their initial investment plus interest on the money market funds being held as collateral.
The limited partners should note, in the event of a default on the business loan, the collateral in the money market account will be used to retire the debt of the business loan. The general partners estimate that the limited partner(s) can anticipate a return of their entire capital within two (2) years or sooner from the completion of principal photography. It is anticipated that licensing for foreign theatrical, television, DVD and videocassette exploitation will be executed and advances and/or guarantees received prior to the domestic theatrical release of the motion picture. Such advances and guarantees will reduce the outstanding balance of the business loan by Telepathy Film Productions, LLC.
VIII. DISTRIBUTION STRATEGY
Telepathy Film Productions, LLC, as exclusive owner of all worldwide rights in the film, intends to make deals to cover all ancillary revenue stream, potential distributors may be invited to view part of the uncompleted film. Therefore, possible pick up deals are available. A foreign sales agent may be employed, at a 20% cost, to handle foreign Pre-sales including foreign theatrical, foreign pay-TV and cable to pre-sell various territories. Such strategy will offset the negative cost and help to insure a quicker profit. A Prints and Advertising Deal will be made after the negative cost and the film has been financed to insure proper Ads and domestic theatrical release in U.S. Theatres. A DVD sales deal will be made to insure proper DVD sales. Domestic Cable, independent TV stations and sound track revenue deals will include top recording stars, and is intended to be licensed by Telepathy Film Productions, LLC to a major record distribution label. The general partner(s) and the limited partner(s) will share the net profits derived from all forms of the commercial exploitation of the motion picture equally on a 50/50 basis.
IX. INDUSTRY OVERVIEW
Historically, the motion picture business as a whole has been very consistent and stable. It tends to be recession-resistant and market-neutral, avoiding the volatility experienced by investors in other markets like the dot.com sector. 2002 was one of the best years every for US box office totals, reaching the $9.271 billion level—up 14% from 2001’s $8.125 billion and capping 10 straight years of growth. In 2003, box office receipts totaled $9.166 billion down only 0.3% and then 2004, the best year ever for U.S. box office totals, reaching the $9.4 billion level.

Movie revenues originate not only from the box office. Video and DVD sales / rentals, network and cable TV, pay-per-view, and on airplanes are all important sources of revenues.
Films continue to generate revenues for their production studios across all of these platforms, known as "windows of exhibition," for years after their theatrical release.
DVDs are rapidly changing the scene in home video stores, both domestic and foreign, and are greatly impacting the revenue being generated by what used to be the sole domain of VHS. Perhaps no other format for movies has so much profitability built in the retail price. Video business reports that U.S. DVD sales in 2004 rose 27.3% over 2003 to a record $15.15 billion. Overall DVD revenue (including sales and rentals) rose by $20.88 billion. This means that the average US household purchased 13.5 DVDs in 2004. These figures illustrate that DVD sales crush revenues generated in the box office, and that the growth rate for DVDs is remarkably greater than that of the more mature theatrical market. No other industry in the world has the ability to cut across social, political, and cultural lines like the motion picture. Even during a social and economic recession where incomes and aspirations are systematically shrinking, the film business is growing. It’s very apparent that in a world so beset with the harsh reality of simply making it day to day, movies are providing a needy audience with a “great escape” to keep spirits going. For example, “Rush hour 2” similar to the concept to ATM, has grossed $66.8 million in its first 3 days, provides a real life example how the audience likes to associate with “real life, small” people becoming “heroes” and discovering their hidden talents and abilities that take them to the top.
Overall, analysts project a $35 billion worldwide box office for films in 2005, growing to $45 billion by 2006 and reaching 52.2 billion in 2008 with DVD dominating the home video market. In other areas, a record number of films grossed more than $100 million each last year, and an unprecedented for distributors grossed more than $1 billion each at the box office. The market for independent films has expanded tremendously in the last few years with worldwide grosses of two billion dollars in 2004.
X. CONCLUSION
Telepathy Film Productions, LLC has an excellent script to serve as the basis for this motion picture. The production will be executed by a talented and thoroughly experienced team of professionals with strong contact in the industry. Upon completion, Telepathy Film Productions, LLC will use its best efforts to secure the maximum profits available from each and every form of commercial exploitation throughout the world. The projections attached hereto serve, as only an illustration of the potential return a motion picture such as this is capable of making. Telepathy Film Productions, LLC intends to minimize the limited partners’ risk while at the same time maximizing their return.
The use of a tax incentive plan will insure that all investor(s) maximize their investment opportunity. A tax opinion will be offered to all LLC members. The IRR for this motion picture will equal at least a 10 times multiple. The revenue stream will last for all ancillary revenue streams for 15 years.

Jeremy Dienstl started in the film business 4 years ago at Saban Entertainment “Power Rangers”. After gaining that great experience, he moved onto principal casting and production and formed a casting company Take Action Casting, a principal casting director Ann Ross. He cast such projects as “Fast and Furious”, “Herbie Fully Loaded”, the “Steve Harvey show” and many others.
Jeremy has also worked as a production assistant in such projects as “Waste Deep” (2005), “Showtime” (2001), “Bubble Boy” (2002), “Power Rangers” (1997-2000), etc. Jeremy has attended Auburn State University. His passion for people and serving needs of others brought him to such positions as Drug Counselor and Intake Coordinator, and later took him to his present passion in the entertainment industry. Jeremy’s skills and talents when it comes to dealing with people, leadership and motivation serve as a strong basis for his current role as an Executive Producer.

I. MISSION STATEMENT
It is the goal of Telepathy Film Productions, LLC to introduce a new style in filmmaking focusing on action comedy,horror’s, thrillers to elicit emotion through humor, action,suspence and realistic events that happen in the real world . “Claus-Trophobia” will be a Horror/Thriller film similar in between Saw series, Hostel ,The Decent Caputuring audiences threw ages 18-45 talking about good versus evil where the devil fights the lord .And the lord wins this battle.
II. OVERVIEW
Telepathy Film Productions, LLC is a Nevada limited liability company that believes a rare opportunity exists in the motion picture industry today. The substantial worldwide growth of new markets for motion pictures, the ever increasing cost associated with an average Hollywood picture, combined with a decline in independent productions, are indicative of the profit potential that exists. Telepathy Film Productions, LLC is presently seeking venture capital or collateral (to secure a business loan), to fund the production of the feature length motion picture entitled: “Claus-Trophobia”. “Claus-Trophobia” is budgeted at a modest, yet adequate Production cost of Two Million five hundred thousand dollars ($2.5)
And of the 2.5 Million Dollars $75,000 (optional) for (P&A) Prints and advertising cost. Majority of (P&A) shall be covered by distribution.
Telepathy Films, LLC, an independent motion picture production company assembling creative and business professionals with common goals, will produce “Claus-Trophobia” will be produced by: Allen Barnwell,Jeremy v Dienstl,Paul Gagne who brings 17 years of experience in the movie industry and has worked on such films and TV such as “West From North Goes South” “Final Sanction” “Fire Head” “Raw Nerve” The screenplay is written by Arkiesha
Roberts.
III. FINANCING STRUCTURE
Most investors are looking for a preferred return. An LLC has been formed to cover the negative cost of the film. Gross revenues flowing back to the LLC will be allocated 100% to the members. The investors can become limited partners for the project “Claus-Trophobia” and the revenue allocation will be negotiable at that point.
This type of LLC Financing will allow all LLC members including limited partners to take advantage of a new law (The American Jobs Creation Act of 2004). This law allows the LLC members to write off the entire cost of the investment in an independent film up to 15 million dollars in one year. The return on investment will be taxed at the capital gains rate of 15% per year.
IV. FILM NEGATIVE OWNERSHIP
The film will pay revenue to the LLC and its members for X amount of time that will be negotiable, thereafter the film negative ownership will revert to the general partners or their assigns.
Claustro-phobia- Synopsis
Michael Rosen has been battling claustrophobia his entire life. The anxiety caused by this mental disorder is destroying Mike’s life. Mike’s relationships, his work; all areas of his life suffer because of it. He decides to attend a help retreat session that his psychologist, Dr. Mateav has put together for his patients who all suffer from Claustrophobia. Mike and the other patients soon discover that the treatment retreat session is actually a cruel scientific experiment that they have all become a part of.
Mike and the other patients struggle to survive as they are treated like lab rats. They are all stuck in a long clear plastic tube that is so tight that they cannot move. Dr. Mateav is testing out Thorazine, a new drug that he hopes will cure anxiety for good. (Dr. Mateav’s daughter died from a seizure caused by her anxiety from her claustrophobia disorder. Dr. Mateav feels obliged to find a cure for anxiety.) Dr. Mateav thinks he has things under control until patients begin to die from panic attacks, drug overdose, malnutrition, gun wounds…..
Mike holds on to his spirituality to try to survive his claustrophobia disorder and stay sane. He attempts to help others stay sane, but they choose the drug, Thorazine instead to numb their mind. As the patients die one by one around him Mike continues to believe God will find away for him. He prays for a miracle.

He experiments on humans (instead of using rats he uses humans). He believes it is his duty in life to find a cure for anxiety. He experiments on his test subject with drugs that he created himself. The side effects cause some to be completely dependent on the drug and completely brain dead.

She is a strong Christian woman who tries to get her daughter who suffers from claustrophobia to realize that God and Jesus will save them.

Daughter of Desira. She suffers from Claustrophobia. Dr. Mateav invite her and her mother to the retreat to help Jade with her claustrophobia. Jade is conflicted with her faith and taking the drug Thorazine.

Jessica – Patient of Dr. Meteav. She suffers from severe claustrophobia disorder. Here anxiety was so bad that she would pass out whenever she had to stand in a long line. The medicine that Dr. Meteav has given her has affected her severely. She has been taking the medicine for about five years. She has developed a bi-polar disorder because of it. She will either be in a state of extreme unusual calmness where she seems to be brain dead or she is having an extreme panic attack. One scene she starts to scream uncontrollably. Her panic attacks are so extremely insane that it triggers Hose’ (who also suffers from a bi-polar disorder caused by the Thorazine drug) to lose control of his anxiety. He has an outrageous panic attack that causes him to bash in her head with his feet.

Chris – Jessica’s boyfriend that sometimes experiments with her anti-anxiety drug (Thorazine) for recreational purposes.

VII. STRUCTURE
The limited partnership agreement will be between the film finance company, Telepathy Film Productions, LLC (herein called the “general partner”) and the investor(s) (herein called the “limited partner(s)”). The Nevada Partnership Act will serve as the medium whereby the partners shall transact its business. Pursuant to the Regulated Uniform Limited Partnership Act, the general partner(s) will be liable for all indebtedness of this project and the limited partner(s) will not be responsible for anything beyond the capital investment.
The capital investment will be deposited in a time deposit money market account for eighteen (18) months to two (2) years at a lending institution in the name of Telepathy Film Productions, LLC to serve as collateral to secure a business loan obtained in the name of Telepathy Film Productions, LLC. Our lending institution has tentatively agreed, (subject to verification of funds and/or collateral and other terms and conditions, including delivery of completion bond), to loan an amount up to one hundred percent (100%) of amount deposited in the time deposit money market account at an interest rate not to exceed eight percent (8%) per annum. Our lending institution has also indicated that they are prepared to offer additional services to Telepathy Film Productions, LLC including collection services to secure revenues payable to Telepathy Film Productions, LLC. Telepathy Film Productions, LLC intends to repay the business loan, principal and interest, prior to the eighteen (18) months to two (2) year maturity date, thereby releasing the collateral of the limited partners being held in the money market account. In addition to the producer’s net profits percentage that will be negotiated, the limited partners will receive their initial investment plus interest on the money market funds being held as collateral.
The limited partners should note, in the event of a default on the business loan, the collateral in the money market account will be used to retire the debt of the business loan. The general partners estimate that the limited partner(s) can anticipate a return of their entire capital within two (2) years or sooner from the completion of principal photography. It is anticipated that licensing for foreign theatrical, television, DVD and videocassette exploitation will be executed and advances and/or guarantees received prior to the domestic theatrical release of the motion picture. Such advances and guarantees will reduce the outstanding balance of the business loan by Telepathy Film Productions, LLC.
VIII. DISTRIBUTION STRATEGY
Telepathy Film Productions, LLC, as exclusive owner of all worldwide rights in the film, intends to make deals to cover all ancillary revenue stream, potential distributors may be invited to view part of the uncompleted film. Therefore, possible pick up deals are available. A foreign sales agent may be employed, at a 20% cost, to handle foreign Pre-sales including foreign theatrical, foreign pay-TV and cable to pre-sell various territories. Such strategy will offset the negative cost and help to insure a quicker profit. A Prints and Advertising Deal will be made after the negative cost and the film has been financed to insure proper Ads and domestic theatrical release in U.S. Theatres. A DVD sales deal will be made to insure proper DVD sales. Domestic Cable, independent TV stations and sound track revenue deals will include top recording stars, and is intended to be licensed by Telepathy Film Productions, LLC to a major record distribution label. The general partner(s) and the limited partner(s) will share the net profits derived from all forms of the commercial exploitation of the motion picture equally on a 50/50 basis.
IX. INDUSTRY OVERVIEW
Historically, the motion picture business as a whole has been very consistent and stable. It tends to be recession-resistant and market-neutral, avoiding the volatility experienced by investors in other markets like the dot.com sector. 2002 was one of the best years every for US box office totals, reaching the $9.271 billion level—up 14% from 2001’s $8.125 billion and capping 10 straight years of growth. In 2003, box office receipts totaled $9.166 billion down only 0.3% and then 2004, the best year ever for U.S. box office totals, reaching the $9.4 billion level.
Global Film Industry - Origin of Revenues

Movie revenues originate not only from the box office. Video and DVD sales / rentals, network and cable TV, pay-per-view, and on airplanes are all important sources of revenues.
Films continue to generate revenues for their production studios across all of these platforms, known as "windows of exhibition," for years after their theatrical release.
DVDs are rapidly changing the scene in home video stores, both domestic and foreign, and are greatly impacting the revenue being generated by what used to be the sole domain of VHS. Perhaps no other format for movies has so much profitability built in the retail price. Video business reports that U.S. DVD sales in 2004 rose 27.3% over 2003 to a record $15.15 billion. Overall DVD revenue (including sales and rentals) rose by $20.88 billion. This means that the average US household purchased 13.5 DVDs in 2004. These figures illustrate that DVD sales crush revenues generated in the box office, and that the growth rate for DVDs is remarkably greater than that of the more mature theatrical market. No other industry in the world has the ability to cut across social, political, and cultural lines like the motion picture. Even during a social and economic recession where incomes and aspirations are systematically shrinking, the film business is growing. It’s very apparent that in a world so beset with the harsh reality of simply making it day to day, movies are providing a needy audience with a “great escape” to keep spirits going. For example, “Rush hour 2” similar to the concept to ATM, has grossed $66.8 million in its first 3 days, provides a real life example how the audience likes to associate with “real life, small” people becoming “heroes” and discovering their hidden talents and abilities that take them to the top.
Overall, analysts project a $35 billion worldwide box office for films in 2005, growing to $45 billion by 2006 and reaching 52.2 billion in 2008 with DVD dominating the home video market. In other areas, a record number of films grossed more than $100 million each last year, and an unprecedented for distributors grossed more than $1 billion each at the box office. The market for independent films has expanded tremendously in the last few years with worldwide grosses of two billion dollars in 2004.
X. CONCLUSION
Telepathy Film Productions, LLC has an excellent script to serve as the basis for this motion picture. The production will be executed by a talented and thoroughly experienced team of professionals with strong contact in the industry. Upon completion, Telepathy Film Productions, LLC will use its best efforts to secure the maximum profits available from each and every form of commercial exploitation throughout the world. The projections attached hereto serve, as only an illustration of the potential return a motion picture such as this is capable of making. Telepathy Film Productions, LLC intends to minimize the limited partners’ risk while at the same time maximizing their return.
The use of a tax incentive plan will insure that all investor(s) maximize their investment opportunity. A tax opinion will be offered to all LLC members. The IRR for this motion picture will equal at least a 10 times multiple. The revenue stream will last for all ancillary revenue streams for 15 years.

Benge Adams comes from a musical background being the first cousin of famed gospel singer Yolanda Adams, a platinum selling artist with three music video image awards. His father Carl B. Adams has written songs for B.B. King, Ray Charles, Charley Mingles and the Johnny Carson show just to name a few.
Joshua brings 13 yeas of film experience both front and behind the scenes. In 1994 he played a lead role of Wesley a true story about a guy who killed his girl friend while high on crack cocaine in the TV. He also had principle roles on the TV shows “Half-n-Half” and “Handler, The” and has also worked behind the scenes on several independent films as an assistant director and associate producer.
Benge has made his mark on the West Coast behind the scenes directing two music videos on BET in 2001 and 2002 titled “West Coast Part” and “Let’s do it” for the upcoming artist J.Knox who toured with 50 Cent and Lil Flip. (www.bigmoneyent.com )

Jeremy Dienstl started in the film business 4 years ago at Saban Entertainment “Power Rangers”. After gaining that great experience, he moved onto principal casting and production and formed a casting company Take Action Casting, a principal casting director Ann Ross. He cast such projects as “Fast and Furious”, “Herbie Fully Loaded”, the “Steve Harvey show” and many others.
Jeremy has also worked as a production assistant in such projects as “Waste Deep” (2005), “Showtime” (2001), “Bubble Boy” (2002), “Power Rangers” (1997-2000), etc. Jeremy has attended Auburn State University. His passion for people and serving needs of others brought him to such positions as Drug Counselor and Intake Coordinator, and later took him to his present passion in the entertainment industry. Jeremy’s skills and talents when it comes to dealing with people, leadership and motivation serve as a strong basis for his current role as an Executive Producer.
